Terms of Service

1. Who we are
These Terms of Service ("Terms") govern your use of Vibu (the "Service"), a digital voucher tool operated by Vibu SARL ("we", "us", "our"), a company being formed in Rabat, Morocco. "You" or "the Vendor" means the natural or legal person who creates an account on the Service.
2. Acceptance and eligibility
By creating an account or by using the Service, you confirm that you are at least 18 years of age, have the legal capacity to contract, and accept these Terms. If you act on behalf of a business, you confirm you have authority to bind that business.
3. What the Service does
Vibu lets you (a) configure rule-bound discount vouchers, (b) issue them to customers via QR codes at your premises, and (c) record their redemption. The Service does NOT process payments and never collects, holds, or transmits funds. You remain solely responsible for collecting payment from your customers under whatever method you already use, and for honoring any voucher your account or your authorized employees have approved.
4. Your account and employees
- You are responsible for the accuracy of the business information you provide.
- You are responsible for the security of your password and for any actions taken under your account.
- You are responsible for the actions of every user you invite (manager, employee) and for ensuring they comply with these Terms.
- One Vibu account corresponds to one Business. If you operate multiple unrelated brands, you must create separate accounts.
5. Vendor obligations
- You will honor every voucher your business or your authorized employees have approved, subject to the rules encoded in the offer at issuance time.
- You will not use the Service to deceive customers (e.g. issuing vouchers you do not intend to honor, or with rules designed to be impossible to satisfy).
- You will not use the Service for any purpose that violates Moroccan law or any applicable consumer-protection rules.
- You will not use the Service to transmit malware, spam, or unsolicited communications.
- You will not attempt to interfere with the Service, reverse-engineer it, or access it through means other than the interfaces we provide.
6. Cost
The Service is provided to you free of charge. We do not take a percentage of your sales, we do not charge per redemption, and we do not charge per location. We reserve the right to introduce paid plans in the future, in which case we will give you reasonable notice and an opportunity to opt out.
7. Customer relationship
A voucher is a discount commitment made by the Vendor to its own customer. Vibu is not party to the underlying transaction between the Vendor and the customer, and is not responsible for any dispute about discount value, item eligibility, or redemption.
8. Intellectual property
The Service, including its software, design, and brand, is owned by Vibu SARL. You receive a limited, non-exclusive, non-transferable right to use the Service for the lifetime of your account. You retain all rights to the business name, logos, and content you provide; you grant us only the rights necessary to operate the Service for you (e.g. to display your logo on your customers' voucher pages).
9. Suspension and termination
You may stop using the Service at any time and may delete your account from the dashboard. We may suspend or terminate any account that violates these Terms, that we reasonably believe is being used for fraud or abuse, or that has been inactive for a long period. We will notify you of suspension or termination unless legal or security reasons prevent it.
10. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by Moroccan law. We do not warrant that the Service will be uninterrupted, error-free, secure, or fit for any particular purpose.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms or the Service. Our total aggregate liability under these Terms is limited to the fees you have paid us in the twelve months preceding the event giving rise to the claim. The Service is currently provided free of charge.
12. Indemnification
You agree to indemnify and hold harmless Vibu SARL from any third-party claim arising out of (a) your use of the Service in breach of these Terms, (b) your failure to honor a voucher you or your employees approved, or (c) any dispute between you and one of your customers.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you in the dashboard at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Kingdom of Morocco. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the competent courts of Rabat.
